Terms of Service

1. Acceptance of Terms

By accessing or using Proof, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the app.

2. Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at maxpoff12@gmail.com if you suspect any unauthorized use of your account. We are not liable for losses resulting from unauthorized access caused by your failure to safeguard your credentials.

3. Acceptable Use

You agree to use Proof only for lawful purposes and in a manner consistent with these Terms. You may not:

• Upload content that is illegal, harmful, defamatory, obscene, or that violates others' rights
• Harass, abuse, threaten, or harm other users
• Upload content that infringes any third-party copyright, trademark, or other intellectual property right
• Attempt to gain unauthorized access to any part of the service or its related systems
• Use automated means to access or interact with the service without our written permission
• Distribute spam, malware, or other harmful code
• Misrepresent your identity or affiliation
• Use the service in any way that could interfere with its operation or other users' enjoyment

We reserve the right to remove any content and to suspend or terminate accounts that violate these rules, pose a safety or abuse risk, engage in spam or infringing activity, or otherwise harm the Proof community, at our sole discretion and without prior notice where circumstances require.

4. User Content

You retain ownership of the content you upload to Proof (videos, profile information, comments). By uploading content, you grant Proof a worldwide, non-exclusive, royalty-free license to store, process, reproduce, and display that content solely as necessary to provide the service, including AI highlight generation and making your public content visible to other users.

You are solely responsible for the content you upload. You represent and warrant that you hold all necessary rights to upload such content, that it does not violate any third-party rights, and that it complies with these Terms.

5. Copyright and DMCA

Proof respects intellectual property rights. If you believe content on Proof infringes your copyright, please send a written notice to maxpoff12@gmail.com that includes:

• Identification of the copyrighted work claimed to be infringed
• Identification of the allegedly infringing material and its location on Proof
• Your contact information (name, address, phone, email)
• A statement that you have a good-faith belief that the use is not authorized by the copyright owner
• A statement, under penalty of perjury, that the information is accurate and you are authorized to act on behalf of the copyright owner
• Your physical or electronic signature

We will act on valid notices in accordance with the Digital Millennium Copyright Act (DMCA) and may terminate accounts of repeat infringers.

6. Subscriptions and Billing

Proof Pro is a monthly subscription billed at $7/month via Stripe. Subscriptions automatically renew each month until cancelled. You may cancel at any time and will retain Pro access through the end of your current billing period. We do not provide refunds for partial months or unused subscription periods.

We reserve the right to change subscription pricing with reasonable advance notice. Continued use of Proof Pro after a price change takes effect constitutes your acceptance of the new price. You are responsible for any applicable taxes associated with your subscription.

7. Intellectual Property

The Proof app, including its design, code, and branding, is owned by Proof. Nothing in these Terms grants you a right to use Proof's trademarks, logos, or other proprietary materials.

8. Disclaimers

Proof is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the service will be uninterrupted or error-free, or that AI-generated highlights will meet your expectations. Use of the service is at your own risk.

9. Limitation of Liability

To the fullest extent permitted by law, Proof and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the service, including loss of data, loss of revenue, or reputational harm, even if advised of the possibility of such damages. Our total liability to you for any claim arising from these Terms or the service shall not exceed the amount you paid us in the twelve months preceding the claim.

10. Termination

We reserve the right to suspend or terminate your account, with or without notice, for violations of these Terms, conduct that poses a risk of harm to other users or to Proof, repeated copyright infringement, or for any other reason permitted by applicable law. You may delete your account at any time through the app settings. Termination does not entitle you to a refund except as required by law.

11. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the service that cannot be resolved informally shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association, with proceedings conducted in English. Nothing in this section prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a revised date and, where appropriate, by email. Continued use of Proof after changes are posted constitutes your acceptance of the updated Terms.
